These terms and conditions ("Terms and Conditions") govern your use of the Cataloguerouge Web site at Catalogrouge.com (this "Site"), which is provided by Catalogue Rouge OY ("Cataloguerouge" or "we"). BY USING THIS SITE, YOU AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS. We may modify these Terms and Conditions from time to time, by posting changes on this Site, which shall be effective from the date posted. By using this Site following any such changes to these Terms and Conditions, you agree to be bound by those changes. If you do not agree to the Terms and Conditions, you must discontinue using this Site.

Modification

Catalogue Rouge OY reserves the right, at its sole discretion, to modify, discontinue or terminate the Site or Services or to modify these Terms, at any time and without prior notice. If we modify these Terms, we will post the modification on the Site or provide you with notice of the modification. We will also update the "Last Updated Date". By continuing to access or use the Site or Services after we have posted a modification on the Site or have provided you with notice of a modification, you are indicating that you agree to be bound by the modified Terms. If the modified Terms are not acceptable to you, your only recourse is to cease using the Site and Services.

Eligibility

The Site and Services are intended solely for persons who are 18 or older. Any access to or use of the Site or Services by anyone under 18 is expressly prohibited. By accessing or using the Site or Services you represent and warrant that you are 18 or older.

Account Registration

In order to list a work on the Site or to make a purchase through the Site, (other than users who utilize the guest checkout option), you must first create an account ("Account") by completing our registration process. During the registration process you will be required to provide certain information and you will establish a username and a password. Upon completion of our registration process or by utilizing our guest checkout option you will become a "Member." You agree to provide accurate, current and complete information during the registration process and to update such information to keep it accurate, current and complete. Saatchi Art reserves the right to suspend or terminate your Account if any information provided during the registration process or thereafter proves to be inaccurate, not current or incomplete. You are responsible for safeguarding your password. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your Account, whether or not you have authorized such activities or actions. You will immediately notify Catalogue Rouge OY of any unauthorized use of your Account.

Intellectual Property

We own or licence the copyright in this site and in material published on it (including descriptions and photographs of articles). Those works are protected by copyright laws and treaties around the world. All our rights are reserved.
You may print off one copy of any page(s) from our site for your personal reference and you may draw the attention of others within your organisation to material posted but you may not reproduce or permit anyone else to reproduce such material without our prior written consent. Our status (or that of any identified contributors) as the authors of material on this site should always be acknowledged.

Subscription

Subscriptions renew automatically unless stated otherwise by the user.

Liability on information posted

Commentary and other materials posted on our site are not intended to amount to advice on which reliance should be placed. We therefore disclaim all liability and responsibility arising from any reliance placed by any visitor to the site or anyone who may be informed of any of its contents.
Our site may contain inaccuracies or typographical errors. We will not be liable for any such inaccuracies. We do not make any express or implied warranties or representations in relation to the web site (including, without limitation, warranties, non-infringement or any implied warranties), and the same are hereby excluded. You acknowledge and agree that it is technically impossible to provide the web site free of faults, bugs and errors and that access to the web site is provided on an "as is" and "as available" basis. We do not accept any liability for faults which may lead to temporary unavailability of the web site, whether this is in our reasonable control or not.
Our liability in relation to any sale advertised on the web site will be as set out in the relevant Conditions of Sale.

Prohibited Conduct

You agree not to commit any act of the following prohibited conduct:

  • use the Catalogue Rouge for any purpose other than to disseminate or receive original or appropriately licensed content and to access the Catalogue Rouge as such services are offered by Catalogue Rouge;
  • delete the copyright or other proprietary rights markings on the Catalogue Rouge  or other Users’ User Submissions;
  • make unsolicited offers, advertisements, proposals, or send junk mail or spam to other Users of the Catalogue Rouge. This includes, but is not limited to, unsolicited advertising, promotional materials, or other solicitation material, bulk mailing of commercial advertising, chain mail, informational announcements, charity requests, and petitions for signatures;
  • use the Catalogue Rouge in violation of any local, state, national, or international law, including, without limitation, laws governing intellectual property and other proprietary rights, and data protection and privacy or post, upload, or distribute any defamatory, libelous, or inaccurate User Submissions or other content;
  • defame, harass, abuse, threaten or defraud Users of the Catalogue Rouge, or post, upload, or distribute any content that is unlawful or otherwise inappropriate, or collect, or attempt to collect, personal information about Users or third parties without their consent, or use the content on the Catalogue Rouge for any commercial use, it being understood that the content available on the Catalogue Rouge is for personal, non-commercial use only;
  • rent, lease, loan, sell, resell, sublicense, distribute or otherwise transfer the licenses granted in these Terms or any Materials (as defined below);
  • impersonate any person or entity, falsely claim an affiliation with any person or entity, or access the Catalogue Rouge accounts of others without permission, forge another persons' digital signature, misrepresent the source, identity, or content of information transmitted via the Catalogue Rouge, or perform any other similar fraudulent activity;
  • hack, remove, circumvent, disable, damage or otherwise interfere with security-related features of the Catalogue Rouge or User Submissions, features that prevent or restrict use or copying of any content accessible through the Catalogue Rouge, or features that enforce limitations on the use of the Catalogue Rouge or User Submissions, or intentionally interfere with or damage operation of the Catalogue Rouge or any user's enjoyment of them, by any means, including uploading or otherwise disseminating viruses, adware, spyware, worms, or other malicious code;
  • reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Catalogue Rouge or any part thereof, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation;
  • modify, adapt, translate or create derivative works based upon the Catalogue Rouge or any part thereof, except and only to the extent that such activity is expressly permitted by these Terms or applicable law notwithstanding this limitation; or
  • remove, obscure, block, hide or otherwise alter the display of any advertising (or any parts or aspects thereof), Catalogue Rouge brand elements, including logos, trademarks, service marks or other Materials displayed by Catalogue Rouge in connection with the Catalogue Rouge in any manner whatsoever, regardless of your use of the embedding functionality of the Catalogue Rouge to display authorised content on your or other third party sites.

Document Promotion

  • Catalogue Rouge may provide you the opportunity to promote your Published Content ("Promoted Catalogue"). A "Promotion" is Published Content consisting of information about a Promoted Catalogue created in part by you and in part by automated means. Each Promotion consists of a title, body text, and a thumbnail. The thumbnail is automatically created from the Promoted Catalogue. The title and body text is entered by you. Catalogue Rouge reserves the right to change how Promotions are created without notice.
  • Catalogue Rouge may reject, refuse to publish, or remove from the Catalogue Rouge any Promotion or Promoted Catalogue at any time for any reason, including failure to comply with these Terms or if, in Catalogue Rouge’s sole discretion, Catalogue Rouge determines that the business model, business practice, or service promoted by the Promotion or the Promoted Document is inappropriate or contrary to the letter or spirit of these Terms. Such prohibited business practices include chain letters, fraudulent or bad-faith "get-rich-quick" or "work from home" schemes, fraudulent or bad-faith web-based colleges or universities, fraudulent or misleading subscription services, pharmaceutical products, pyramid schemes, and sites that install malware, spyware or other software on users’ computers without their permission.

Ownership

Proprietary Rights

The Catalogues Rouge is owned and operated by Catalogue Rouge OY. The visual interfaces, graphics, design, compilation, information, computer code (including source code or object code), products, software, services, and all other elements of the Catalogue Rouge provided by Catalogue Rouge (the "Materials") are protected by European copyright, trade dress, patent, and trademark laws, international conventions, and all other relevant intellectual property and proprietary rights, and applicable laws. Except for any User Submissions that are provided and owned by Users, all Materials contained on the Catalogue Rouge are the property of Catalogue Rouge or its subsidiaries or affiliated companies or third-party licensors. All trademarks, service marks, and trade names are proprietary to Catalogue Rouge or its affiliates or third-party licensors. Except as expressly authorised by Catalogue Rouge, you agree not to sell, license, distribute, copy, modify, publicly perform or display, transmit, publish, edit, adapt, create derivative works from, or otherwise make unauthorised use of the Materials. Catalogue Rouge reserves all rights not expressly granted in these Terms.

Indemnification

You agree to indemnify Catalogue Rouge, its affiliated companies, contractors, employees, agents and its third-party suppliers, licensors, and partners from any claims, losses, damages, liabilities, including legal fees and expenses, arising out of your use or misuse of the Catalogue Rouge, any violation by you of these Terms, or any breach of the representations, warranties, and covenants made by you in these Terms. Catalogue Rouge reserves the right, at your expense, to assume the exclusive defence and control of any matter for which you are required to indemnify Catalogue Rouge, and you agree to cooperate with Catalogue Rouge’s defence of these claims. Upon notice of any impending claim, action or proceeding, Catalogue Rouge will use reasonable efforts to notify of any indemnification obligation.
